JPI seeks a highly skilled and creative Transactions Lawyer to join
our dynamic legal team. The ideal candidate has experience in real
estate law, particularly transactions involving complex capital,
including debt, equity, private offering documents, purchase and
sale agreements, and other related transaction documents.Essential
Functions & Responsibilities
- Provide legal support in land acquisition and closing
transactions, ensuring compliance with applicable laws and
regulations.
- Conduct thorough due diligence on real estate transactions,
including title reviews, zoning regulations, and environmental
assessments.
- Assist legal team in negotiating and preparing loan documents
for construction financing and multifamily property loans,
including the structuring and negotiation of preferred equity and
joint venture agreements.
- Draft, review, and negotiate private placement memoranda (PPM)
and offering documents related to real estate capital market
transactions.
- Draft review and negotiate Purchase and Sale agreements for
multifamily properties
- Provide analytical and strategic advice to management and
stakeholders as required, enhancing the overall decision-making
process.Non-Essential Functions & Responsibilities
- Other duties as assigned.Education, Work Experience, & Physical
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the State Bar of Texas and in good standing.
- 7+ years of experience practicing real estate law, with a focus
on transactions related to real estate capital markets (equity,
debt, mezzanine, and preferred equity), preferably as an in-house
attorney.
- Proven experience in negotiating and drafting complex real
estate financing documents.
- Strong understanding of legal concepts associated with land
closing, due diligence, and transaction documents.
- Excellent analytical, negotiation, and communication
skills.
- Ability to work collaboratively in a fast-paced environment and
